These Terms of Service ("Terms") govern your use of the Replen application ("the App"), operated by Replen ("we", "us", "our"). By installing or using the App, you agree to these Terms.
Replen is a Shopify app that helps merchants manage purchase orders, track supplier relationships, receive inventory, and generate replenishment recommendations. The App is accessible through the Shopify admin interface.
You must have an active Shopify store and be authorized to accept these Terms on behalf of the merchant account to use the App.
Replen is offered as a paid subscription. Pricing and billing are handled through Shopify's billing system. Current pricing is displayed on the App listing and at getreplen.app. A free trial period may be offered at our discretion. After the trial, you will be charged the applicable subscription fee unless you uninstall the App.

Your use of the App is also governed by our Privacy Policy, which is incorporated into these Terms. We handle your shop data to provide and improve the service as described therein.
The App, including its code, design, and documentation, is owned by Replen and protected by applicable intellectual property laws. These Terms do not grant you any ownership rights in the App.
We aim to maintain high availability of the App but do not guarantee uninterrupted access. We may modify, suspend, or discontinue the App or any feature at any time, with reasonable notice where possible. We may update these Terms; continued use after changes constitutes acceptance.
The App is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the App will be error-free, uninterrupted, or that replenishment recommendations will be accurate for your specific business.
To the maximum extent permitted by law, Replen shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits or data, arising from your use of the App. Our total liability to you for any claim shall not exceed the amount you paid us in the three months preceding the claim.
You agree to indemnify and hold harmless Replen from any claims, losses, or expenses (including reasonable legal fees) arising from your use of the App or violation of these Terms.
You may terminate these Terms at any time by uninstalling the App from your Shopify store. We may terminate or suspend your access if you violate these Terms. Upon termination, your right to use the App ceases immediately.
These Terms are governed by the laws of France, without regard to conflict of law principles. Any disputes shall be resolved in the courts of France.
